    LICENSE AGREEMENT AND
     LIMITED  WARRANTY
------------------------------
In return for an agreed upon fee(s), SUPERIOR grants to the Customer a perpetaul, non-exclusive license to use the CAD CATALOG 4.0 Software (“Software”) subject to the following terms and conditions:

USE
------------------------------
Customer may use the Software in any computer on their premises.

Customer may not allow the use of the Software by any personnel other than employees of their organization.

------------------------------
COPIES AND ADAPTATIONS
------------------------------
Customer may make copies or adaptations of the Software for archival purposes, or for use by other personnel on other computers, but such use must be on Customer’s premises only. Customer may not allow the copying of the Software by any personnel other than employees of their organization.

Customer agrees that no warranty, free installation, or free training is provided by SUPERIOR for any copies or adaptations of the Software made by the Customer.

All copies and adaptations of the Software made by Customer must bear the copyright notice(s) contained in or on the original as received from Superior.

Customer agrees not to alter or remove any copyright notice(s) from the Software or instruction manuals.

OWNERSHIP AND COPYRIGHTS
------------------------------
Customer agrees that this Agreement is not a sale and that title and all copyrights in and to the Software and any copy or adaptation made by Customer remains the sole property of SUPERIOR.

TRANSFER OF RIGHTS
IN SOFTWARE
------------------------------
Customer may transfer rights in the Software to a third party only as part of the transfer of all their rights and only if Customer obtains the prior written agreement of the third party to be bound by the terms of this Agreement.

Upon such transfer, Customer agrees that their rights in the Software are terminated and that they will either destroy their copies and adaptations or deliver them to the third party.

Transfer of the Software to a U.S. government department of to a prime or lower contractor in connection with a U.S. government contract shall be made only upon their prior written agreement to terms required by SUPERIOR.

SUBLICENSING AND LICENSING

Customer may not sublicense the Software or distribute copies or adaptations of the Software to the public in physical media or by telecommunication without the prior written consent of SUPERIOR.

TERMINATION
------------------------------
SUPERIOR may terminate this Agreement for Customer’s failure to comply with any of the terms and conditions thereof, provided SUPERIOR has requested Customer to cure the failure and Customer has failed to do so within thirty (30) days of such notice.

UPGRADES AND UPDATES
------------------------------
Customer agrees that the Software does not include updates and upgrades which may be available from SUPERIOR under a seperate support agreement.

EXPORT CLAUSE

Customer agrees not to export or re-export the Software or any copy or adaptation in violation of the U.S. Export Administration regulations or other applicale regulations.

LIMITED WARRANTY
AND DISCLAIMER
-----------------------------
SOFTWARE: SUPERIOR warrants for a period of 90 days from the date of delivery to the Customer that the Software will provide drawings, as stated in the instruction manual. SUPERIOR does not warrant that the operation of the Software will be error free. In the event that the Software product fails to execute as stated in the instruction manual during the warranty period, Customer’s remedy shall be to return the CD-ROM or the diskette(s) on which the Software is recorded (“Media”) to SUPERIOR for replacement. Should SUPERIOR be unable to replace Media within a reasonable amount of time, Customer’s alternative remedy shall be a refund of the fee(s) paid to SUPERIOR for use of the Software upon return of the Software and all copies.

MEDIA: SUPERIOR warrants the Media to be free of defects in materials and workmanship under normal use for a period of 90 days from the date of delivery. In the event the Media proves to be defective during the warranty period, Customer’s remedy shall be to return the Media to SUPERIOR for replacement. Should SUPERIOR be unable to place Media within a reasonable amount of time, Customer’s alternative remedy shall be a refund of the fee(s) paid to SUPERIOR for use of the Software upon return of the Software and all copies.

NOTICE OF WARRANTY CLAIMS: Customer must motify SUPERIOR in writing of any warranty claims not later than thirty (30) days after the expiration of the warranty period.

LIMITATION OF WARRANTY: Customer agrees that the above are their sole and exclusive remedies under this warranty.

EXCEPT FOR THE ABOVE EXPRESS LIMITED WARRANTIES, SUPERIOR DISCLAIMS AND AND ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

SOME STATES OR PROVINCES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE OR PROVINCE.

LIMITATION OF LIABILITY: SUPERIOR’S entire liability to Customer or any other party resulting from any claim, demand or cation arising out of damage shall not exceed the fee you paid for use of the Software under this agreement. IN NO EVENT SHALL SUPERIOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES OR LOST PROFITS ARISING FROM THE USE OF THE SOFTWARE, EVEN IF SUPERIOR HAS ADVISED YOU OF THE POSSIBILITY OF SUCH DAMAGES.

SOME STATES OR PROVINCES DO NOT ALLOW THE EXCLUSIONS OR LIMITATIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

Warranty Service: Warranty service may be obtained from the SUPERIOR main offices indicated in the User’s manual.

Governing Law: This Agreement shall be construed in accordance with and governed by the laws of the State of Wisconsin.

Invalid Provision: If any provisions of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect.

CUSTOMER ACKNOWLEDGES THAT CUSTOMER HAS READ THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO BE BOUND BY IT’S TERMS AND CONDITIONS. FURTHER, CUSTOMER AGREES THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN THE PARTIES AND THAT IT SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, ORAL OR WRITTEN, AND ALL OTHER COMMUNICATIONS BETWEEN THE PARTIES.
